1. HEMP

Sysco to buy US Foods from private equity, shares leap

(Reuters) – Sysco Corp (SYY.N) will buy US Foods Inc for about $ 3.5 billion from its private equity owners in a deal that will combine the top two U.S. food distributors and create a company commanding about a quarter of the $ 235 billion North American market.


Sysco, whose shares jumped about 25 percent to a record high in early trading, will also assume US Foods’ debt of about $ 4.7 billion as it combines its supply chain expertise with the strong consumer-facing technologies of US Foods.


Shareholders of US Foods, owned by affiliates of private equity firms Clayton, Dubilier & Rice and KKR & Co (KKR.N), will own about 13 percent of Sysco after the closing of the deal, which creates a company with revenue of $ 65 billion.


“Combining and maximizing the significant strengths of two outstanding companies is certain to be of tremendous advantage in supporting our customers,” US Foods Chief Executive John Lederer said in a statement on Monday.


Sysco Chief Executive Bill DeLaney, speaking on a conference call with analysts, said Sysco now has an 18 percent share of the market, while US Foods has 9 percent.


DeLaney said the Federal Trade Commission, which rules on antitrust matters, would certainly scrutinize the deal but he noted that there were about 15,000 private companies involved in the U.S. food distribution industry.


Sysco and US Foods distribute foods to restaurants, hotels, hospitals, schools and other institutions.


DeLaney said Sysco was attracted by US Foods’ customer-facing technologies, such as standardized ordering software and mobile apps. “We are particularly strong in the supply chain side of things,” DeLaney said.


Clayton, Dubilier & Rice and KKR acquired the former U.S. Foodservice from Dutch grocer Ahold (AHLN.AS) for $ 7.1 billion in 2007.


Sysco said the deal would add to earnings immediately after closing, probably in the third quarter of 2014.


Goldman Sachs & Co is financial adviser to Sysco, while Wachtell, Lipton, Rosen & Katz and Arnall, Golden & Gregory LLP are legal advisers.


Simpson Thacher & Bartlett LLP and Debevoise & Plimpton LLP are legal advisers to US Foods, which did not identify a financial adviser.


Sysco shares were up 12 percent at $ 38.31 in late morning trading on the New York Stock Exchange.

Rebelling Against Massive Use of Pesticides, Brazilians Shift to Organic Foods


SANTA MARIA, Brazil – Every Saturday morning, organic food traders from Santa Maria de Jetibá, a Pomeranian settlement on the mountains of Espírito Santo State, in southeastern Brazil, set up their stalls under a bridge in the beach district. It is Praia da Costa, in Vila Velha, one of the cities that make up the metropolitan region of the capital Vitoria, and they are selling organic products to a loyal clientele who are lucky enough to have the foods brought to their doorstep at a price that’s competitive with non-organic items sold at the supermarket.


Selling organic produce is more than a business choice for these Pomeranians: it is, rather, a health-preservation measure. This ethnic group, which emigrated in the 1840s from a Polish region that used to belong to Germany, chose Santa Maria as one of its mountain settlements. They preserved a dialect that is no longer spoken in Europe and lived in relative isolation for over a century.


Then, some years ago, a high suicide rate in the community called the attention of researchers, who established a link between the deaths and the high use of pesticides in the region – many of which also caused infertility and skin cancer. In response, an organic food movement was born as a local organic certification scheme, called Chão Vivo, in 1999 began stimulating a shift toward organic farming.


One of the reasons that many concerned Brazilians are switching to organic is that the country is also the biggest user of pesticides per capita in the world, an unfortunate distinction Brazil has held since 2008. The situation inspired documentary maker Silvio Tendler to produce O Veneno Está Na Mesa (Poison is On the Table), a film that reveals, among other things, the alarming statistic that Brazil uses 5.1 kilos (11.2 lb) of pesticide per person per year.


In the United States, the equivalent figure is 4.5 pounds per person, according to the Environmental Protection Agency (EPA). And besides the amount of pesticides, the situation is exacerbated by the fact that chemicals which have been banned in most other countries get dumped in Brazil due to lax legislation and intense lobbying from chemical companies.


Poison-Friendly Policies


According to Moyses Veiga, an environmental consultant who has lived among the Pomeranians and worked for the Chão Vivo organic certification scheme, the deeper story dates back to the 1960s when different governments started to pursue a policy of “modernizing agriculture.”


In 1965, Brazil’s government introduced a credit line called Sistema Nacional de Crédito Rural, which submitted financing for the purchase of agricultural inputs by farmers. In 1975, another program called Programa Nacional de Defensivos Agrícolas streamed funds toward the creation of national companies, as well as to transnational agricultural input companies willing to open branches in Brazil.


“Another factor that boosted the use of pesticides in Brazil was an outdated and loose regulation that was in place until 1989, which made it easier to register hundreds of toxic substances, some of which had already been banned in developed countries,” said Veiga.


Veiga points out that it was in the period between 2001 and 2008 that the sale of pesticides in Brazil reached frightening proportions, and Brazil moved up to the top of the ranking. Agriculture revenue jumped from $ 2 billion to more than $ 7 billion per year in that period. Then, in 2009, Brazil’s pesticide use soared to 1 million applied tons. (Environmentalists in the country say that if smuggled pesticides are additionally factored in, the figure could be as high as 9.5 kg per capita.)


All of this has had a negative impact on human and non-human health as well as the environment, facts that more and more of the population is coming to understand. According to Sérgio Koiffman, a researcher with Fundação Oswaldo Cruz, pesticides are substances designed to destroy certain animal pests whose structure is similar to our own.


“Some of the most serious effects include neoplasms, defects in the central nervous system, while the more subtle problems are the neurological development of a child, changes in kidney [health] and sexual functions, and cancer,” said Koiffman. He added that more recently, researchers have noted that exposure to pesticides during pregnancy affects the fetus as well.


Contamination happens through food or water, he said, and in the case of workers who handle the products directly, symptoms tend to me more acute while consumers develop less progressive, though not less serious, problems. One particular class of pesticides, known as methamidophos, has called the attention of government and researchers in recent years. The pesticide was used for pest control on cotton, peanut, potato, bean, soybean, industrial use tomato, and wheat crops.


The Brazilian Health Surveillance Agency, Anvisa, banned it in 2012 after toxicological tests indicated the pesticide to be a class of poison can cause damages in embryo and fetal development, besides affecting endocrine and the reproductive systems.


“There was no evidence that the product is safe for people’s health,” said Anvisa’s director, José Agenor Álvares.


Due to a high concentration of this class of chemicals in the waterways of Mato Grosso State, where some of Brazil’s largest monocultures are located, post-graduate student Izabela Gutierrez de Arruda felt compelled to look deeper into their effects. Gutierrez developed a biosensor based on enzyme inhibition, which helps farmers measure levels of contamination using a portable and cheap piece equipment.


The good news is that all over Brazil, organic street markets are cropping up to cater to the growing demand for healthy food. With more information circulating on social networks, and increasing awareness of the country’s pesticide abuse problem, organic farmers markets like the one in Vila Velha are on their way to becoming fixture in many Brazilian cities.


The City of Belo Horizonte, one of the country’s largest metropolitan regions, reported an increase of 10 percent in demand for organics in the first half of 2013 compared with the same period last year. Rising demand is likely to boost the share of organic food in Brazil’s agricultural production – which currently stands at only five percent of the total – and hopefully slows down the poisoning of the country with pesticides.

Tyson Foods announces it will stop buying meat cattle raised on cruel Zilmax drug






(NaturalNews) Though clearly a move to protect its own profits rather than safeguard public health, industrial meat processor Tyson Foods Inc. nonetheless announced recently that it will no longer accept for processing cattle that have been treated with the growth-accelerating drug, Zilmax. According to reports, the company has recognized not only that cattle fed the Merck & Co. drug often suffer immense pain due to excessive weight gain, but also that many export countries like Russia and China do not want meat that contains any trace of the controversial substance.

The decision comes just months after rival Smithfield Foods, which is currently in the process of being acquired by a Chinese holding firm, decided to phase out the use of ractopamine, a similar growth-accelerating drug, in pigs following bans on the drug in both China and Russia. According to Reuters, Tyson’s announcement follows a similar lead, as Zilmax-treated cattle are increasingly being rejected both domestically and internationally due to their questionable safety record for human consumption.


Tyson officials claim the ban is being implemented to promote animal welfare, as many Zilmax-treated cattle are too overweight and deformed to even walk down the slaughter chute. But many media sources now believe Tyson’s true motive is to protect its export market by voluntarily withdrawing animals treated with the drug. In order to avoid losing considerable foreign market share in the coming months and years, in other words, Tyson has chosen to act first by rejecting a product that will cut into its export sales.


“There have been recent instances of cattle delivered for processing that have difficulty walking or are unable to move,” states a letter recently sent by Tyson to cattle farmers. “We do not know the specific cause of these problems, but some animal health experts have suggested that the use of the feed supplement Zilmax, also known as zilpaterol, is one possible cause. Our evaluation of these problems is ongoing but as an interim measure we plan to suspend our purchases of cattle that have been fed Zilmax.”



Like many other growth-accelerating drugs currently given to factory farm animals, Zilmax is a beta agonist, which means it mimics the action of naturally occurring hormones when ingested. Originally designed to treat respiratory ailments in humans, beta agonists work in cattle by altering their metabolisms and accelerating the rate at which they convert feed to usable muscle tissue. They also promote a higher conversion of feed into protein rather than fat, which leads to higher lean meat production.

Zilmax is just one of many beta agonists currently approved by the U.S. Food and Drug Administration (FDA) for administration in factory cattle. So even with Tyson’s new moratorium on this controversial additive, the company will continue to process cattle that contains other beta agonists, such as Optaflexx, which also unnaturally bulks up animals by speeding up the breakdown and synthesis of feed.


“Truck drivers have indicated that there is a difference between loading cattle depending on the beta agonist status of the diet,” says Lilly Callaway, an animal scientist who works for JBS, the world’s largest meat packer, as quoted by the weekly agribusiness newspaper, Feedstuffs. “Our plants have indicated that particular lots of cattle are showing up as ‘tender-footed’ — they do not want to move, seem lethargic and stiff, and have no energy.”


According to the Tyson letter, cattle feeders have until September 6 to either stop using Zilmax and maintain business with the company, or be cut off from being a supplier.

Human beings, along with all other life on Earth, have been evolving together for some fifty million years in what is known as the Biosphere aka Planet Earth.


That means food is not only necessary for our life, but part of our genetic make up and raw, ‘organic’ food fits us like a glove or part of an infinitely small jigsaw puzzle, each piece fitting seamlessly at the mitochondrial cellular level.   


But sh*t happens and it gets into the food chain, which is where the liver comes in – a giant de-tox factory that throws out the garbage (pity there isn’t one in Washington).


When the liver can’t handle all the crap, you get the Wal-Mart Generation… and people like the ones who run Monsanto want to make this worse… but things are happening to Monsantowhere it hurts, in the wallet – Tom Dennen:


“I was shocked to read a story in Canada’s highly conservative national newspaper, The Globe and Mail, a couple of days ago in which well-known investor and columnist Chris Umiastowski, P.Eng., MBA, warned of the risk in holding Monsanto stock.  It was refreshing to read the views of an investor who is not just concerned about the bottom line but also the potential health and environmental risks in such a conservative paper. I knew that this was a victory-of-sorts for all of us who share a concern over the increasingly genetically-modified nature of our food supply.


In his column, “Monsanto:  A food stock with a bad aftertaste,” he shares: “it’s just as important to know what stocks to avoid as it is to know which ones to invest in. Most growth trends don’t last forever and you don’t want to be stuck holding the bag when growth disappears or reverses.” Here is an investor who is recognizing the “battle raging between consumers and Monsanto” that could leave fallout for investors left holding the bag when consumers take back their right to know what is contained in the food they eat.


While labelling of GM-foods is not legally required in Canada or in the United States, consumer groups are gradually certifying an increasing number of foods as “GM-Free” as a way to take back a right that regulators are not recognizing that we deserve. Consumers are waging a peaceful revolution against Monsanto and other GM-food suppliers as well as the government agencies that turn a blind eye to the environmental and health ramifications of GM-foods and crops. As an aside:  European governments have been more progressive in recognizing the human right to know when our food supply has been tampered with and many countries there consider labeling of GM foods standard practice.
