ATHENS, Nov 17 (Reuters) – National Bank of Greece , the country’s largest lender, is close to clinching a deal to sell a majority stake in its fully-owned real estate arm Pangaia to private equity firm Invel Real Estate, two bankers close to the deal told Reuters on Sunday.


The sale is part of restructuring efforts by National Bank (NBG) aimed at boosting its capital base.


Greece’s top four banks are implementing restructuring plans agreed with the European Commission as part of conditions imposed for their bailouts. The plans involve job cuts, branch closures and asset sales.


“The agreement will close in the next 10 days. Invel will acquire about 66 percent of Pangaia for more than 600 million euros ($ 808.47 million),” one of the bankers told Reuters.


Invel, where Israeli businessman Beny Steinmetz is a major shareholder, will pay part of the purchase price for Pangaia in cash, contribute equity in the form of real estate and finance the rest with a loan from National Bank, the bankers said.


“NBG will retain management control at Pangaia for five years,” the other banker said. “The loan by NBG for part of the majority stake will be at a spread of 275 basis points, secured by real estate contributed by Invel.”


The bankers said the sale would strengthen National Bank’s Core Tier 1 capital adequacy ratio by 40 basis points to 9.6 percent. The Bank of Greece plans to conduct stress tests later this year.


Pangaia’s real estate portfolio includes office buildings, branches operated by NBG and other property recently acquired from the country’s privatisation agency.


Pangaia may pursue a listing on the Athens stock exchange by 2015, one of the bankers said.


The agreement has been approved by the Hellenic Financial Stability Fund (HFSF), the bank rescue vehicle that recapitalised the country’s big four banks in the summer and is now their major shareholder, one of the bankers said.


Last month, Canadian firm Fairfax Financial Holdings announced its intention to raise its stake in Greek real estate firm Eurobank Properties.

EPA"s "unprecedented" power grab for private property


Two Republican House members have sent a letter to the EPA questioning new rules being formulated that would give the EPA sweeping authority over streams and wetlands on private property.


The EPA is justifying the rules by saying it’s part of its mandate to enforce the Clean Water Act. But Reps. Lamar Smith (R-Texas) and Chris Stewart (R-Utah), both ranking members of the Science and Technology Committee, doubt the EPA’s science in justifying the regulations and want the agency to slow down and get other opinions.

In a letter to the agency on Friday, Reps. Lamar Smith (R-Texas) and Chris Stewart (R-Utah) alleged that it is trying to initiate a “sweeping reinterpretation” of its jurisdiction in a potential new rule.


The regulation to expand the EPA’s oversight would give it “unprecedented control over private property across the nation,” they asserted.



In September, the EPA began the process of asserting that it can regulate streams, estuaries and other small bodies of water under authority granted by the Clean Water Act. The agency said that the new rule is necessary to clear up confusion caused by two recent Supreme Court cases.


The EPA said making sure that regulations protecting clean water apply to those smaller waters ends up protecting larger lakes and rivers downstream.


Republican lawmakers have attacked the move and accused the agency of making a broad power grab. They worry that the EPA’s science has not been thorough enough to warrant a new rule.


“In light of the significant implications this action would have on the economy, property rights, and state sovereignty, this process must be given more thought and deliberation to allow for important, statutorily-required, weighing of the scientific and technical underpinnings of the proposed regulatory changes,” Smith and Stewart wrote on Friday.


Smith is the chairman of the House Science, Space and Technology Committee, and Stewart leads its environment subcommittee.


The proposal is currently under review at the White House’s budget office, where most major rules are subjected to scrutiny before being unveiled to the public.


Once the proposal is released, the EPA will accept public comments and revise the regulation before finalizing it.


The lawmakers want the EPA to give a copy of the proposal to the agency’s science advisory board, which is made up of outside experts from academia and businesses, for a thorough review.



The EPA has defined “wetlands” so broadly that some farmers who have been socked with fines for supposedly damaging or disturbing their own property were astonished to discover that they were violating any laws. Now the EPA wants to expand their power to violate private property rights in the name of environmental protection.


The erosion of property rights has been one of the most damaging developments in the era of big government. It is almost universally recognized that strong protections for property owners is one of the major guarantors of our liberties. The push by government to undermine those rights and liberties did not start with the Obama administration, and they probably won’t end with it. But the expense of defending one’s rights against the government means that few can afford the protracted court battles that ensue when the  government’s appetite for control gets out of hand.

ACA palliative care provisions open new door for probate, property rights abuse


Palliative care is a term with which increased numbers of Americans have become familiar since 2009 with the debate and passage of the Affordable Care Act (ACA). Stated simply, it’s medical care administered as a replacement to medical treatment. It’s also key to the “death panels” Obamacare opponents predict.


Following the June 2012 U.S. Supreme Court decision upholding the new healthcare law, the Center to Advance Palliative Care issued this statement:


The Center to Advance Palliative Care is pleased that the Affordable Care Act, with its aims to expand access to quality healthcare for all Americans, will continue to positively affect healthcare delivery in the United States. With increased access to care, and the development of enhanced quality measures, more seriously ill patients and families will receive the high quality, effective care they need to reduce suffering and live longer, healthier lives. This benefit is of the utmost importance to CAPC and the field of palliative care, as the patients we treat are the sickest, most vulnerable people in our nation’s healthcare system.



A 2009 article, Obamacare: Stimulus for estate abuse?, described how disgruntled family members, wannabe heirs or unscrupulous members of the legal industry will find Obamacare helpful with Involuntary Redistribution of Assets (IRA) actions in which probate venues or instruments like wills, trusts, guardianships and powers of attorney are used to divert assets from intended heirs or beneficiaries. Palliative care was also discussed:


Palliative care, a common end-of-life care component, is defined as any form of medical care or treatment that concentrates on reducing disease symptom severity rather than striving to halt, delay, or reverse progression of the disease itself or provide a cure. The goal is to prevent and relieve suffering and to improve quality of life for people facing serious, complex illness. While used with aggressive treatment, it is also a common alternative for patients who decline prolonged, expensive efforts. Performed under the guise of government-run health care, it’s likely to become a mandated, state-sponsored doping of sick Americans deemed unsuitable for proactive medical treatment.


Elder financial abuse is frequently termed the crime of the 21st century. Estate looting and other probate abuse often fall into this category. Estate disputes frequently include allegations of undue influence with the role of medication being a common point of contention. If palliative care becomes a major tool in the government’s arsenal of health care cost-cutting measures, predators will seize this opportunity.



These concerns are now bolstered as CNS News reports how the National Institutes of Health (NIH) is “soliciting applications for federal grants worth up to $ 275,000 to research ways to provide elderly patients with ‘palliative care’ – even in hospital emergency rooms and intensive care units.”


The article explains:



Palliative care is commonly understood to mean medical treatment that focuses on relieving symptoms, including pain, instead of trying to treat or cure the underlying disease.


But researchers will not be studying the use of palliative care to relieve the suffering of dying patients. “Hospice and end-of-life settings are not included within the scope” of the Funding Opportunity Announcement (FOA), the grant notices specifically state.


Instead, they will be looking at new ways to provide elderly patients with palliative care long before they are at death’s door.


The palliative care will be provided in “a variety of settings, including ambulatory care, hospitals (and specific sites within hospitals including specialty wards, intensive care units and emergency departments), assisted living facilities, and short- and long-term care facilities.”


The federal money will be used to “advance [the] science of geriatric palliative care… in settings and at time points earlier in geriatric patients’ diseases or disability trajectories,” according to the grant notices (PA-13-354355356).


One of the grants is categorized under NIH’s R21 Exploratory/Developmental grants, defined on the agency’s website as “novel studies that break new ground or extend previous discoveries toward new directions or applications.”





“Isolate, medicate, steal the estate” is a phrase commonly associated with IRA acts. The medicate phase offers great opportunity for the use of undue influence that can lead to late-in-life and uncharacteristic estate plan changes. Abandoning proactive medical treatments to artificially incapacitate our seniors in the name of “palliative care” will aid unscrupulous individuals in estate hijacking pursuits. Similar concerns can be raised for the disabled or younger people with terminal illness or life-threatening injuries – especially individuals attached to a significant estate as legal settlements can provide.


The Obama administration and other congressional leaders claim this new system will be better for all Americans. The federal government wants us to trust it with a plan forcing a majority of Americans to forfeit a flawed, but functioning health care system in pursuit of a plan that already is driving up insurance costs, failing to attract the young, healthy people on who its premium structure is based and prompting a move of workers to the plan as employers drop increasingly-expensive coverage.


Estate abuse and probate corruption already threaten the property rights of Americans and their heirs’ or beneficiaries’ inheritance rights. Provisions of Obamacare  – specifically doping rather than treating certain population segments – will add to the problem. People get upset when such acts impact their families, but are usually clueless and largely uncaring to these threats’ widespread nature as well as the predictability of more abusive actions that Obamacare with its expansion of palliative care measures can’t help but bring.


Routine treatment of estate thefts as civil rather than criminal matters has already provided growth opportunities for the legal industry in addition to generating incentives for others desiring to divert assets from intended heirs and beneficiaries. Increased numbers of heavily-medicated, especially elderly, Americans can only fuel this expansion of activity.

Engagement Rings Are Hardly Romantic -- Sparkly Rocks Are a Reminder of a Time When Women Were Property



Let"s not be so sentimental.








After Vancouver"s most famous jilted paramour got his 15 minutes of international attention recently, I was left wondering how we came to be living in a culture manufactured almost entirely by marketers.


Pasquale Angelino (“Charlie”) Zampieri hit the headlines when he sued his former fiancée for the return of the $ 16,500 sapphire and diamond ring he gave her, after three weeks acquaintance, in anticipation of their soon-to-be wedded bliss. They"d met on one of those online dating sites, the news stories recounted with glee, and by his account it was kismet.


Alas, it was not meant to be for reasons not quite clear in the reports, although poor Zampieri says he felt Jessica Bennett, whom he characterized as some sort of a digital Jezebel, took advantage of him. Two weeks ago he filed a suit in B.C. Supreme Court to reclaim the ring. Last week, she filed a suit for defamation.


What"s left of the once intrepid news reporting staffs of this town sprang into action to get man-on-the-street views. Streeters, once considered the last resort of lazy incompetents, are now the gold standard in journalism and I have to admit they do deliver a kind of insight.


The public view falls into two camps, as summed up by a middle-aged couple: “It"s a gift, she"s entitled to keep it!” the wife insisted. “She dumped him, she should give it back,” countered her husband. (I fear they may suffer marital discord off-camera too.)


But not one person in the parade of sidewalk strollers offered the only sensible response: What the hell did this guy think an engagement ring was for?









The engagement ring is not, as diamond advertisers of the last 80 years or so have insisted, a symbol of love: it"s a sort of down payment on a virgin vagina.


I"ve always thought giving engagement rings was a slightly unsavoury custom, given that it began in an era when women were chattel, more or less. It"s hardly romantic. The rings remind me of a time when women couldn"t own property because they were property. Well, except for widows. There"s a reason that Merry Widow of opera fame was so merry.


As Scott Fitzgerald noticed in the 1920s, the rich are different from you and I, and the custom of laying down an engagement ring was something rich people did in an era when marriage was recognized for what it really is: a business contract. It was done to secure property (and political alliances among royalty and the aristocracy) and to ensure there would be an heir and a spare to inherit it all.


That"s why female virginity was such a big deal. It had financial value because it was connected to property. Pre-DNA testing, no one could be sure who the father was unless the bride was irreproachably chaste. And no one wants to see property going to bastards. Post-delivery of the requisite sons, everyone was free to go about discreet amusements, and the country weekend at the manor house came into vogue.


And by society they didn"t mean hoi polloi like thee and me, either. They meant what the insightful 19th century novelist Edith Wharton called New York"s 400 families.


Rings as retainers


Then, engagement rings functioned as a sort of retainer — a lease-a-womb scheme, if you will. The unspoken part of the deal was that an engagement often allowed for a sampling of the goods.


A broken engagement was like a business deal gone bad: there were economic consequences and the injured party (the woman, who was acknowledged to be more vulnerable) was entitled to compensation.


In the event of the man breaking it off, she had what journalists call “a kill fee.” Because the reluctant groom wasn"t just changing his mind: he was telling the world that she was inadequate in some way. He had tried her, and found her wanting. And since she had been, um… tried… she was off the marriage market for at least nine months.


That was an eternity in a time when 50 was a ripe old age. Spinsterhood loomed by 25. So women didn"t want to be seen lollygagging about getting stale-dated or shop-worn.


As the middle class evolved and began owning property, they started imitating their betters, and breach of promise laws sprang up to protect women. Engagement rings weren"t common among my people (the working class) until after the wedding industry invented itself in the 1920s. What we now call a “traditional” wedding is actually just a cheap pantomime of a society wedding that has been marketed to the masses.


The elite gave engagement rings with stones of lasting value like sapphires and rubies (as royalty still does), but a wealth of diamond mines discovered in the late 19th century made the white rocks cheap and plentiful. They needed to create a market for this stone, so they began promoting diamonds as the ideal engagement ring to get in on this newfangled wedding industry.


The real marketing genius behind the engagement ring was a copywriter whom every advertising student learns wrote the single most effective slogan of all time, in 1947: “A Diamond is Forever.”


Frances Gerety (who incidentally was a spinster) cleverly connected romantic love to diamond engagement rings, forever. She obscured their creepy origins as down payments on chattel, and diamond purveyors are still profiting from her sharp thinking.


Get that ice


The real reason for engagement rings wasn"t lost on people of that era, however, as legal scholar Margaret Brinig noted when she researched the history of breach of promise laws. With the abolition of those laws in the 1930s came an increase in the sales of engagement rings to the masses.


That"s not a coincidence, and it"s not just the wedding industry ramping up. Apparently about half of couples were having premarital sex in the 1940s, and researchers believe that women were looking for some sign of commitment from a man before doing the wild thing. In an era of unreliable birth control, a ring was still seen as a down payment and a sort of insurance policy in the event the man bolted and left her holding the baby.


The pragmatic views of the day are perhaps best summed up in the 1949 song “Diamonds Are a Girl"s Best Friend”: “Get that ice, or else no dice.”


If this all sounds terribly mercenary on both sides, please remember that marriage is a contract: the parties are swapping goods and/or services in exchange for benefits. Although, I think the woman warbling that song may have had a contract other than marriage in mind.


Which brings us back to Charlie Zampieri and Jessica Bennett, and what sort of a business arrangement they had that required a retainer. Did Charlie think he was loaning Jessica a ring as a glimpse of future shared property? Did she think he gave her a sparkly thing in exchange for services rendered over the 20 months they were together?


In short: given equality laws and effective birth control, what in the world is going through people"s minds when a man decides to give a woman an engagement ring?


That is what the court will have to sort out, and I"m looking forward to the trial. (Please, please let there be a trial. Also, please let Mr. Justice Paul Williamson preside — he writes the wittiest decisions.)


With any luck, someone will weigh in and explain how we"ve all become such victims of marketing that we have no idea what we"re really doing when we enter a marriage contract and start passing jewelry around.

A legend swirls around the dilapidated mansion on Smolenski Street in Athens that the previous owner’s ghost scares off prospective buyers by moaning, “The house is mine.” The Greek government isn’t spooked.


It sold the two-story house and tower, replete with palm trees in the overgrown gardens, for €434,000 ($ 580,000) on Sept. 17 in an EBay (EBAY)-style Internet auction. While he doubts the house is haunted, Andreas Taprantzis, executive director for real estate at the Hellenic Republic Asset Development Fund (HRADF), says the building was “haunting the Greek budget,” generating “zero income, not even taxes.”


Most assets to be auctioned online have come into the Greek state’s possession through foreclosures, bequests, or donations, or after their owners died without heirs. “Many people end up with no heirs, and eventually the state inherits the property,” Taprantzis says. “The state is family for all citizens, including the ones with no heirs but with a fortune.”

Apartment property trust MAA to buy Colonial Properties for $2.17 billion




Real estate investment trust Mid America Apartment Communities Inc said it would buy rival Colonial Properties Trust for about $ 2.17 billion to expand in the apartment rental market in southern United States.


U.S. apartments rents are rising and vacancy rates are falling as the economy improves. The apartment vacancy rate fell by 0.2 percentage points to 4.3 percent in the first three months of 2013 – the lowest in more than a decade.


The acquisition will give MAA an asset base of about 85,000 multifamily units in 285 properties across in the Sunbelt, the company said on Monday.


After the deal, MAA’s 10 largest markets will be Dallas/Fort Worth, Atlanta, Austin, Raleigh, Charlotte, Nashville, Jacksonville, Tampa, Orlando and Houston.


Under the deal, MAA will offer 0.36 common shares for each Colonial Properties Trust unit.


Based on MAA’s closing share price of $ 67.97 on Friday, the offer of $ 24.47 per share represents an 11 percent premium to Colonial Properties’ Friday close.


The combined company is expected to have a pro-forma equity market value of about $ 5.1 billion and a total market value of $ 8.6 billion, MAA said.


Colonial Properties Trust shares were up 5 percent at $ 23.31 in morning trade on the New York Stock Exchange. MAA shares were down more than 3 percent at $ 65.70.
